06.D Company Law – Cases

Patrick Kölliker and Roman Schmid have developed a device at the Lucerne School of Engineering and Architecture that humidifies offices in a novel way and absolutely noiselessly. Now they are planning to patent the innovation and to commercialize it.

To reduce their personal risks Patrick and Roman consider founding a company. They would like to start with a small company without any other partners, but in the future, there should be a possibility of a participation for external investors.

a) Which type of a Swiss company would you recommend Patrick and Roman for their start-up? Explain briefly.

b) Which type of company would you recommend Patrick and Roman if they want to participate investors in their business? How can they reconcile the requirement of a small company in the present and the possibility of a participation of external investors in the future? Explain briefly.
